AI-Agentic Automation systems (including the MN Logiq division).

Proprietary products (including but not limited to Sitesenz, Ecosenz, Tripsenz, and Cadrush).

Technical specifications, software algorithms, design concepts, business strategies, and customer data.

4.2 Obligations of Recipient

The Recipient agrees to maintain the confidentiality of all Confidential Information disclosed by the Company and to use it solely for the purpose of receiving and evaluating the services.

The Recipient shall not disclose, distribute, or disseminate any Confidential Information to any third party without the prior written consent of the Company.

The Recipient shall take all necessary precautions to prevent unauthorized access, use, or disclosure, including implementing reasonable security measures.

4.3 Exclusions from Confidential Information

Information shall not be considered Confidential Information if it:

Was known to the Recipient prior to disclosure.

Becomes publicly available through no fault of the Recipient.

Is independently developed by the Recipient without reference to the Confidential Information.

4.4 Return of Confidential Information

Upon request or termination of the services, the Recipient shall promptly return or destroy all Confidential Information received and any copies thereof, unless retention is required by law.

4.5 Remedies for Breach

In the event of a breach or threatened breach of this Clause, the Company shall be entitled to seek equitable relief, including injunctive relief, in addition to any other remedies available at law.

4.6 Duration of Obligations

The obligations of confidentiality shall survive the termination or expiration of the services and shall remain in effect indefinitely.

4.7 Governing Law & Jurisdiction

This Clause shall be governed by and construed in accordance with the laws corresponding to the contracting entity:

US / Americas

Laws of the State of Delaware, USA, with exclusive jurisdiction in Delaware courts.

India / Rest of World

Laws of India, with exclusive jurisdiction in the courts of Chennai, Tamil Nadu.
